The Institutions programme can be used either with Audio guidance pre-recorded by presenter Alis Rocca or Visual without Alis presenting. For the Visual, we recommend that the presenter runs through the whole presentation in advance to enable them to prepare in line with their own context.

The running time of the full programme with pauses for discussion and watching the films as recommended is approximately two hours.

NON-EXCLUSIVE LICENCE granted by Nip in the Bud, a Charitable Incorporated Organisation (“Nip in the Bud”) of 21 Priory Close, London, N20 8BB to use the pre-recorded educational programme entitled “Recognising and Responding to Potential Mental Health Conditions” (“the Educational Programme”).

1. After all of the details which are required to be supplied to obtain this licence have been entered on Nip in the Bud’s website and following receipt by Nip in the Bud of the fee required for the grant of this licence, Nip in the Bud grants to the educational establishment whose name and address have been entered into the relevant box on Nip in the Bud’s website (“the Licensee”) a non-exclusive licence to use the Educational Programme on the terms set out in this licence.

2. The licence is valid for 365 days and the access code will expire at the end of this period.

3. The Licensee acknowledges that the fee charged by Nip in the Bud is to help Nip in the Bud to raise further funds to produce more films, factsheets and presentations in pursuance of its primary purpose of advancing education about childhood mental health disorders.

4. This licence is granted to permit the non-commercial exhibition of the Educational Programme by the Licensee:
a. in those cases where the Licensee is a Teacher Training institution, solely for the education of students and staff registered with the Licensee; and
b. in those cases where the Licensee is an Organisation that works with or cares for children, solely for the education of the staff of that organisation.

5. The Licensee agrees not to distribute the Educational Programme by any means or to any person, institution, organisation or company except as allowed by Clause 4 and agrees not to use all or any part of the Educational Programme in any language for filming, promoting, exhibiting, transmitting, distributing, broadcasting and exploiting online, in television, in film or in any other media, now known or hereafter invented or developed.

6. Nip in the Bud does not permit the Licensee to copy, cut, manipulate, edit, dub, subtitle, or reproduce the Educational Programme or part thereof except with the prior express written agreement of Nip in the Bud.

7. Nip in the Bud confirms that it owns and controls all the Rights in and to the Educational Programme and has the legal capacity and the power and authority to enter into this licence and is able to grant the Rights provided for herein. In this section, the term “the Rights” means the right in and to the Educational Programme, including any trademarks, copyright protection, third party rights and any form of protection granted or to be granted to the Educational Programme.

8. To the extent that the Educational Programme depicts any identifiable individual(s), Nip in the Bud warrants that it has complied with its statutory obligations to those individuals under the General Data Protection Regulation.

9. This licence constitutes the entire agreement between Nip in the Bud and the Licensee and supersedes all prior discussions and negotiations.

10. This licence shall be governed by and interpreted in accordance with the laws of England and Wales and the parties submit to the exclusive jurisdiction of the courts of England and Wales.
